“Midwest Project Supply LLC” Terms and Conditions

Formation: Midwest Project Supply LLC (referred to as "the Company") is a wholesale distributor of building products. By engaging in any transaction with the Company, you agree to abide by the terms and conditions outlined herein. 

Copyright and Trademarks: All content, including but not limited to text, images, logos, and trademarks, on our website and documents is the property of Midwest Project Supply LLC and is protected by copyright and trademark laws. Unauthorized use of any content is strictly prohibited. Prices and Typographical Errors: Prices for our products are subject to change without notice. In the event of a typographical error, the Company reserves the right to correct it and may refuse or cancel any orders placed at the incorrect price. 

Product Images, Descriptions, and Substitutions: Product images and descriptions on our website and documents are for reference only. The Company reserves the right to substitute products of equal or greater value if the ordered product is unavailable. 

Indemnification: By using our products, you agree to indemnify and hold Midwest Project Supply LLC harmless from any claims, damages, losses, liabilities, and expenses arising out of your use of our products. 

Limitation of Liability: The Company is not liable for any indirect, special, incidental, or consequential damages arising from the use of our products, including but not limited to lost profits and business interruption. 

Sales Tax: Midwest Project Supply LLC charges sales tax on shipments to the states where the company has physical or economic nexus unless an approved sales tax exemption certificate is provided prior to purchase. Buyers are responsible for the payment of all applicable sales taxes for shipments to all other states and territories. Buyers shall reimburse any taxes imposed upon sales or shipments unless Midwest Project Supply LLC receive an acceptable tax exemption certificate prior to purchase or collects the sales tax on your behalf. 

Payment: Midwest Project Supply LLC accepts most major credit cards, Paypal, Venmo, Company Checks, and ACH Transfers. Payment is due upon the time of order being placed. Orders will not be processed with the Manufacturer until payment is received. For companies with established credit or open account with Midwest Project Supply LLC, standard payment terms are Net 10 days from time of shipment or pickup. Midwest Project Supply LLC reservces the right to charge the buyer a late payment fee of 1.5% of the amount due for each month the amount due remains unpaid. Any payments made using a credit card will incur an additional 3%

transaction fee not included on the estimate or invoice. All payments must be paid in US dollars and at the time of purchase. Buyer agrees to assume responsibility to and unconditionally guarantees payments for all purchases from Midwest Project Supply LLC. 

Warranty Disclaimer: The Company makes no warranties, either express or implied, regarding the products sold. Any warranties are provided by the manufacturer and are subject to their terms and conditions. 

Shipping & Returns: Midwest Project Supply LLC adheres to our vendors return policies and procedures and therefore requests the buyer to not accept any damaged products. Refuse the shipment from the carrier and immediately contact Midwest Project Supply LLC. Important to note that concealed damage not relayed to Midwest Project Supply LLC within 48 hours of receipt of shipment will result limited ability to support the buyer on the claim. The buyer is responsible for all freight claims resulting from damage in transit if they accept the material from the carrier without noting such damage. Title and Loss risk is passed to the buyer. 

Customer Error Cancellation: Orders placed in error by the customer must be canceled within 24 hours of order placement. After this period, the Company reserves the right to to charge a restocking fee or reject the cancellation or return request all together. 

Title and Risk: Title and risk of loss for products pass to the customer upon delivery by the carrier. By engaging in any transaction with Midwest Project Supply LLC, you acknowledge that you have read, understood, and agreed to these terms and conditions. The Company reserves the right to modify these terms and conditions at any time without prior notice. It is the customer's responsibility to review them periodically for changes. If you do not agree to these terms and conditions, please do not use our services or purchase our products.
